Terms of Service

Welcome to Caliradi.ai. These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Caliradi LLC ("Caliradi", "we", "us"). By accessing or using caliradi.ai or any of our products (the "Service"), you agree to these Terms.

1. The Service

Caliradi is a Silicon Valley AI SaaS platform that automates customer acquisition, sales operations, marketing campaigns, and customer support for businesses in any market. The Service includes our AI agents, the Kaira chatbot, our CRM and unified inbox, the work our U.S.-based operations team performs on your account as defined by your plan, and any related tools we make available to you.

2. Account & eligibility

• You must be at least 18 years old and legally able to form a contract.
• You agree to provide accurate, current, complete information during signup.
• You are responsible for safeguarding your account credentials and for all activity under your account.
• Notify us immediately at support@ydygroup.com of any unauthorized access.

3. Plans & pricing

The Service's managed plans are offered in four tiers, each priced per month: Growth ($497/mo), Pro ($997/mo), Scale ($1,997/mo) and VIP ($3,997/mo, by application only — it is arranged on an application call and cannot be purchased directly). Current pricing, and exactly what each tier includes, is on the pricing page and may be updated from time to time, but changes will not affect a period you have already paid for.

Entry plans purchased on selfserve.caliradi.ai — Self ($39/mo), Launch ($97/mo) and the Full-Stack Trial ($197/mo) — are delivered by the Caliradi team under these Terms. They are one-time payments per period, are not covered by the guarantee in section 5 and do not include the self-serve AI marketing workspace. Plans purchased before 26 September 2026 keep the terms in effect at purchase.

Every plan is paid one period at a time. Each checkout is a one-time payment that covers one period — a month, a quarter paid up front (10% off) or a year paid up front (20% off), each directly from the plan card — and additional local payment methods may be offered on these one-time checkouts. No plan renews automatically: to continue, you pay for the next period; if you don't, the Service ends when the paid period does. Add-ons sold at ads.caliradi.ai are separate month-to-month subscriptions that you can cancel in any month. When we run your paid ads on a plan below Pro, a standardized ad-management fee of $99/mo applies for every month your ads run (Pro, Scale and VIP include ad management); it is a separate month-to-month subscription that renews monthly from checkout until you cancel it. Ad budgets are paid by you directly to the ad platform, never through us. VIP prepayment, like the plan itself, is arranged on the application call. There is no setup fee.

Each tier defines what we deliver in a billing period — for example landing pages, outreach emails sent, content pieces, AI videos, review calls — by output, not by hours. We do not bill or cap the Service by hours, and unused deliverables in a billing period do not roll over. Tasks that fail on our side are never billed.

4. Payment terms

• Payments are processed by Stripe. By providing payment details, you authorize us to charge your method of payment.
• Plan payments are one-time and do not auto-renew. Only the ads.caliradi.ai add-ons and the $99/mo ad-management fee renew automatically, once a month, until you cancel them before the next renewal date. An ad-management month that has already started is not refunded.
• All fees are stated in U.S. dollars (USD), exclusive of applicable taxes. Prices shown in any other currency are for reference only: checkout settles in USD at the day’s exchange rate, and because exchange rates and platform fees fluctuate, if you paid more than the reference price, contact us and we refund the difference.
• Failed payments may result in suspension of the Service after 7 days' notice.

5. 90-day written guarantee

We back the Service with a written 90-day guarantee on the Growth plan ($497/mo) and above — every managed plan; the three entry plans sold on selfserve.caliradi.ai — the $39/mo Self plan, the $97/mo Launch plan and the $197/mo Full-Stack Trial — are not covered (plans activated before August 21, 2026 keep the terms in effect at activation). If you are not satisfied within 90 days of activation — or we miss the 90-day targets written into your contract — and you have made reasonable use of your plan, contact support@ydygroup.com for a 20% refund of fees paid for the first 90 days. Either reason qualifies on its own. Plans at $997/mo and above additionally carry an annual performance commitment: if two consecutive quarterly reviews show neither SOW execution as planned nor meaningful business progress, you can claim 20% of your annual fee back. Full guarantee terms are in our SLA. The $99/mo ad-management fee, the ads.caliradi.ai validation month and ad budgets you pay to ad platforms are outside this guarantee.

6. Cancellation

Plan payments are one-time, so there is no subscription to cancel: to stop, simply do not pay for the next period, and the Service ends when the paid period does. The ads.caliradi.ai add-ons can be cancelled at any time from your dashboard or by emailing support@ydygroup.com; a cancellation takes effect at the end of the current billing period. The $99/mo ad-management fee can be cancelled in any month by emailing support@ydygroup.com; it stops at the next renewal, and a month that has already started is not refunded. We do not pro-rate refunds for partial periods, except as required by the 90-day guarantee or applicable law.

7. Acceptable use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any law.
• Send spam, unsolicited messages, or fraudulent communications.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to build a competing product.
• Upload malware, viruses, or any malicious code.
• Attempt to gain unauthorized access to other users' accounts or our systems.
• Resell or sublicense the Service without our written consent.
• Use the Service to violate the rights of others, including intellectual-property and privacy rights.

We may suspend or terminate accounts that violate these rules without prior notice.

8. Intellectual property

All Service content, software, designs, logos, and brand elements (including "Caliradi", "Caliradi.ai", and the Ci logo) are owned by Caliradi LLC or our licensors and are protected by U.S. and international intellectual-property laws.

Your content. You retain all rights to the content you upload. You grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely as needed to operate the Service.

AI output. Output generated for you by our AI agents is yours to use, subject to these Terms.

9. Third-party services

The Service integrates with third-party tools (including Stripe for payments, Meta and Google for advertising, and our AI, hosting and customer-record providers). Your use of those tools is governed by their respective terms. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Service availability

We aim for 99.5% uptime, measured monthly, excluding scheduled maintenance and force majeure. See our Service Level Agreement for details.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

AI outputs are generated probabilistically and may contain errors. You are responsible for reviewing AI-generated content before using it in production. We do not guarantee specific business outcomes such as revenue growth, lead volume, or conversion rates.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to defend, indemnify, and hold harmless Caliradi LLC, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from (i) your use of the Service, (ii) your violation of these Terms, or (iii) your violation of any third-party right.

14. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including breach of these Terms. Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive (intellectual property, disclaimers, limitations of liability, indemnities, and dispute resolution) will survive termination.

15. Governing law & dispute resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in San Francisco County, California, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date and, where appropriate, notified by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.

17. SMS / Text Messaging Program

Business identity

This SMS program is operated by Caliradi LLC ("Caliradi"), the operator of Caliradi.ai. When you opt in, you can expect to receive text messages related to your account, onboarding, scheduling, billing, customer support, product updates, and — where you have separately consented — promotional offers from Caliradi.

Opt-out & support

You can cancel the SMS service at any time. Just text "STOP" to +1 (650) 623-2878. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again. Carrier liability

Carriers are not liable for delayed or undelivered messages.

Message frequency

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive recurring messages, with frequency varying by your account activity and the notifications you have opted into (typically up to 10 messages per week per program). If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
